Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Strategic Advisory Group LLC ("Strategic Advisory Group," "we," "us," or "our") governing your access to and use of our website, services, and products.
By accessing our website, requesting a consultation, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access our website or use our services.
Important Notice: These Terms include provisions that limit our liability and require individual arbitration for any disputes. Please review Section 12 (Dispute Resolution) carefully.
Services Provided

1.2 Service Scope
Each engagement is governed by a separate Service Agreement that specifies the scope of work, deliverables, timeline, fees, and specific terms applicable to that engagement. The Service Agreement, together with these Terms, constitutes the entire agreement between the parties.

All services are performed in accordance with applicable professional standards, industry best practices, and federal, state, and local laws and regulations.
Client Responsibilities
Accurate Information
You agree to provide accurate, complete, and current information as requested for the performance of services. Inaccurate or incomplete information may affect service quality and outcomes.
Authorized Use
You warrant that you have the legal authority to request the services and that the services will be used for legitimate business, legal, or security purposes only.
Compliance
You agree to use information obtained through our services in compliance with all applicable laws, including but not limited to the Fair Credit Reporting Act (FCRA), Gramm-Leach-Bliley Act (GLBA), and state privacy laws.
Payment
You agree to pay all fees as specified in the Service Agreement. Payment terms, retainers, and billing procedures are detailed in individual engagements.
Prohibited Uses
You agree NOT to use our services or website for any of the following purposes:
- Any unlawful, fraudulent, or malicious purpose
- Harassment, stalking, or threatening any person
- Violating any person's privacy rights or obtaining information through deception
- Making employment, credit, insurance, or housing decisions (FCRA-regulated purposes)
- Circumventing security measures or unauthorized access to systems
- Reselling or redistributing information obtained through our services
- Any purpose that violates applicable laws or regulations
We reserve the right to refuse service, terminate accounts, or cancel engagements if we suspect prohibited use.
FCRA Compliance Notice
IMPORTANT DISCLOSURE: Strategic Advisory Group is NOT a consumer reporting agency as defined by the Fair Credit Reporting Act (FCRA), 15 U.S.C. § 1681 et seq. We do NOT provide consumer reports as defined by the FCRA.
Information obtained through our services may NOT be used for:
- Employment screening or hiring decisions
- Credit eligibility determinations
- Insurance underwriting
- Tenant screening or housing decisions
- Any other purpose requiring an FCRA-compliant consumer report
Our services are provided exclusively for business intelligence, security assessment, litigation support, and risk management purposes. Clients requiring background checks for FCRA-regulated purposes must engage an FCRA-compliant consumer reporting agency.
Intellectual Property Rights
5.1 Our Property
All content on our website, including but not limited to text, graphics, logos, images, software, and methodologies, is the property of Strategic Advisory Group LLC and is protected by copyright, trademark, and other intellectual property laws. The Strategic Advisory Group™ name, logo, and related marks are trademarks of Strategic Advisory Group LLC.
5.2 Report Deliverables
Reports and work product delivered to you as part of an engagement are provided for your internal use only. You may not copy, reproduce, republish, or distribute any reports or deliverables without our prior written consent.
5.3 Limited License
We grant you a limited, non-exclusive, non-transferable license to access and use our website for its intended purposes. This license does not include any right to download, copy, or modify any portion of the website without our express written consent.

Disclaimers and Limitations of Liability
7.1 Service Disclaimer
Our services are provided on an "AS IS" and "AS AVAILABLE" basis. While we strive for accuracy and thoroughness, we make no warranties, express or implied, regarding:
- The accuracy, completeness, or reliability of information obtained
- The merchantability or fitness for a particular purpose
- Uninterrupted or error-free service delivery
- Results or outcomes of services provided
7.2 Information Sources
Information is gathered from public records, open-source intelligence, and third-party sources. We do not warrant the accuracy, currency, or completeness of information provided by third parties. You are responsible for independently verifying any information that will be used for critical decisions.
7.3 Limitation of Liability
IMPORTANT: To the maximum extent permitted by law, Strategic Advisory Group's total liability for any claim arising out of or related to our services shall not exceed the fees paid by you for the specific service giving rise to the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
Indemnification
You agree to indemnify, defend, and hold harmless Strategic Advisory Group, its officers, directors, employees, agents, and contractors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your violation of these Terms
- Your misuse of our services or information obtained through our services
- Your violation of any applicable laws or third-party rights
- Any negligent or wrongful act or omission by you
Termination
Either party may terminate an engagement as specified in the Service Agreement. We reserve the right to suspend or terminate your access to our website or services immediately, without prior notice, for any violation of these Terms or for any other reason at our sole discretion.
Upon termination, you must cease all use of our services and destroy or return any confidential information or deliverables provided to you. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to confidentiality, indemnification, limitation of liability, and dispute resolution.
Governing Law
These Terms and any separate Service Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Virginia, and you consent to personal jurisdiction in such courts.
Dispute Resolution
11.1 Informal Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or our services, the parties agree to first attempt to resolve the dispute through good-faith negotiations for a period of 30 days.
11.2 Arbitration
BINDING ARBITRATION: If informal resolution fails, any remaining dispute shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.
The arbitration shall be conducted in Virginia, and judgment on the arbitration award may be entered in any court having jurisdiction. Each party shall bear its own costs of arbitration.
CLASS ACTION WAIVER: All disputes must be brought on an individual basis. You waive any right to participate in a class action or class-wide arbitration.
Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website with an updated "Last Updated" date. Your continued use of our services after any changes constitutes acceptance of the modified Terms.
Material changes will be communicated via email to active clients. We encourage you to review these Terms periodically.
General Provisions
Entire Agreement
These Terms, together with any Service Agreement and our Privacy Policy, constitute the entire agreement between you and Strategic Advisory Group.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver
No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.
Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
Force Majeure
Neither party shall be liable for failure to perform due to causes beyond reasonable control, including acts of God, war, terrorism, or natural disasters.
